Position Summary

The Head of Business & Legal Affairs will take the lead in the Distribution business within the UK Film Group of Entertainment One (“eOne”) with a particular emphasis on the distribution process of the feature film projects on the eOne UK Film division slate. The role will include senior level negotiating, structuring, drafting and commenting on sales and distribution documentation across all areas of the business as well as liaising with the other eOne business groups (such as local distribution, sourcing and finance) where required. The role will be fully accountable for all UK distribution deals and manage the Paralegal in the team.


The role requires senior industry experience, confidence in negotiating with key industry players including lending institutions, completion guarantors, studios, producers and distributors, and an ability to deal with sophisticated documentation, frequently to short deadlines, across multiple jurisdictions and projects with minimal support.


The Head of Business & Legal Affairs will report to the EVP BLA Distribution in London (“EVP Distribution”) and should be able to work independently and with supervision.


Excellent commercial skills are as important as first rate legal knowledge.


The Head of Business & Legal Affairs for UK distribution will have a wide and varied remit covering all aspects of the UK business (some in conjunction with other Business & Legal Affairs executives) and will need to be able to turn their mind to a wide variety of tasks. Key responsibilities include:

  • Overseeing all BLA distribution activity including advising on, negotiating and drafting:
    • Operational agreements (such as media buying and home video sub-distribution) for the UK film business
    • Exploitation agreements (transactional and, potentially, license-based) for TV and film product in the UK, in conjunction with other executives in the BLA Distribution team
  • Supporting all aspects of the UK film releasing business (and exploitation of TV product in the UK) including:
    • Liaising with transactional, home entertainment, licensing and finance teams
    • Liaising with rights management and contract administration teams to ensure accurate tracking of rights sold and other matters affecting the business
    • Working on promotions and competitions
    • Keeping track of legal matters affecting the UK industry
    • Advising on day to day issues
  • In conjunction with BLA executives in the sourcing team, negotiation and drafting of acquisition agreements for film content and providing UK distribution input into film sourcing deals
  • Providing support to EVP Distribution on any matters affecting the UK film business including (in addition to the above):
    • Corporate transactions and ongoing reporting for the groups’ corporate facility
    • The impact on the UK business from broader industry changes, such as the digital single market
    • Drafting or inputting into industry consultations
  • Maintaining a knowledge of industry trends regarding UK film distribution
  • Working with Business and Legal Affairs leadership, from film and TV, on developing and maintaining a rights strategy relating to film and TV content sales and reviewing, maintaining and updating eOne’s templates that relate to film and TV content licensing activities
  • Instructing and working with outside counsel, where appropriate
  • Running litigation files, where applicable
  • Liaising with local distribution teams (currently in Canada, US, Australia/New Zealand, Benelux, Germany and Spain) and other BLA executives on a variety of matters to ensure worldwide co-ordination and consistency
  • Drafting templates and know-how

Key Competencies

  • Qualified media lawyer with, ideally, at least 7- 9 years PQE (less may be accepted for exceptional candidates)
  • Senior level experience in distribution (drafting and negotiation) and excellent legal skills
  • Experience with digital transactional agreements and, ideally, SVOD and broadcast sale agreements
  • In house experience essential
  • Good industry contacts and legal network
  • Ability to deal with high volume of work across many projects and time zones
  • Ability to work under pressure to tight deadlines and under minimal supervision
  • Management experience is essential
  • Excellent drafting and communication skills (including to non-legal departments)
  • Strong negotiation techniques with a commercial, problem solving and collaborative approach
  • Understanding of EU Competition Law preferable
