Position Summary

Reporting to the Chief Corporate Development and Administration Officer, the Corporate Counsel will have a hands-on, leadership and advisory role, working across the company to oversee legal, risk management and regulatory governance. This role will also act as Corporate Secretary for the Board of Directors.  This role will have two direct reports.

 

eOne is looking for an entrepreneurial, team-oriented,  inquisitive, analytical Lawyer to join the Shared Services Group as a critical member in meeting our strategic business goals for the future. 

Responsibilities

  • Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
  • Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
  • Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
  • Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and policies such as Inside Information, MAR, Sanctions, Modern Slavery Act in UK, Whistleblower etc
  • Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities
  • Corporate Secretarial responsibilities for the Board of Directors with oversight on Board Minutes; LTIP grants and legal compliance; Review of Corporate announcements and Results and lead on the Annual General Meeting
  • Provide accurate and timely legal counsel to management on a variety of topics
  • Draft, review, and negotiate corporate contracts for business units in all departments within the company including Corporate, Human Resources, I.T, and Business Development
  • Develop policies to administer the company’s corporate legal affairs and bridge gaps in existing policies
  • Draft terms and conditions in agreements, while managing various projects and deadlines
  • Devise risk management and effective regulatory compliance strategies
  • Interpret and ensure compliance with privacy legislation, alerting the Executive team and management of regulatory changes or new legislation
  • Communicate legal risks to business partners related to negotiated provisions in Corporate contracts (excludes all commercial contracts)
  • Review Statement of Works (SOWs), assist in reviewing and writing RFI/RFPs
  • Provide advice and participate in Due Diligence in joint ventures, strategic partnership deals, and mergers and/or acquisitions
  • Explain legal language and advise executives on business terms of various deals
  • Provide advice and guidance on Human Resources employment issues and requirements for Canada and US
  • Supervise outside counsel in international regions, the goal in Canada being the elimination of outside counsel
  • Good knowledge on banking/financing generally.  They should also ideally have experience on the equity side – ie placements/rights issues.
  • Legal input on financing activities

Key Competencies

  • Minimum 8+ years’ experience post call at a top tier firm or in-house experience
  • Law degree from an accredited Canadian or American law school
  • Called to the bar in a Province of Canada; Member in good standing to practice law
  • At least 4 years’ prior experience as in-house legal counsel advising organizations on such matters as privacy law, corporate law, employment law, CASL and general contract matters
  • Knowledge of regulatory policies across multiple jurisdictions to assess potential business impact and opportunities
  • Deep experience in business law, familiarity with regulatory reporting
  • Sound working knowledge of corporate and contract law, and exposure to IT/IP law
  • Must be proficient in drafting and solidifying agreements, contracts and other legal documents
  • Solid knowledge on banking and financing, ideally with experience on the equity side – ie placements/rights issues.
